01Your agreement with us
The service provider is ASBUILT AUSTRALIA PTY LTD, ABN 60 620 831 825, trading as Scale Your Service and registered for GST. Contact: joel@scaleyourservice.com.au. The client is the person or entity identified in Your Plan to Move Forward. Authorised contact details for both parties must be recorded in that plan.
For a new engagement, we provide these terms and a dated plan for review before paid work begins. The plan records the specific outcome, deliverables, price and arrangements. Acceptance is recorded in writing by an authorised representative; the plan identifies the accepted version of these terms.
A specifically agreed plan takes priority over these general terms where they conflict, subject always to mandatory law. These terms do not amend an existing accepted client arrangement unless agreed in writing. A free Scale Session is separate from paid services.
02Scope, delivery and changes
We provide the services and deliverables described in your accepted plan with appropriate care and skill. Plans may cover mentoring, business processes, software, forms, AI, automation, websites, brand clarity, profile support, training or creative work.
The plan states inclusions, exclusions, milestones, required inputs, revisions, review criteria and any third-party dependencies. Timings depend on agreed access, content, approvals and provider availability; we will discuss material delays and agree a revised approach.
Neither party can require additional paid work by simply expanding the brief. We describe the effect of a requested change on scope, timing and fees and obtain written agreement before carrying out that change. Corrections needed to meet agreed requirements or mandatory guarantees are not automatically treated as paid extras.
03Working together
You provide timely, accurate information and materials you have permission to use, nominate an authorised decision-maker, review the work and make agreed business decisions. We will explain what access or information is reasonably needed.
Use authorised partner access or secure sharing where available. Do not send account passwords through public booking notes. Each party takes appropriate steps to protect information and credentials it controls.
We agree how changes will be tested, approved and handed over. Client approval does not remove legal rights or excuse a failure to deliver the agreed scope. Day-to-day operation, staff adoption and business decisions remain with your business except for responsibilities expressly assigned to us.
04Fees, deposits and third-party charges
Your plan specifies currency, the total price and applicable tax, the invoicing schedule, payment due dates and any minimum commitment. Only mentoring is invoiced after each agreed 30-day service period. One-off work is invoiced before the work is completed; the plan confirms invoice dates and payment due dates, usually 7–14 calendar days after issue depending on the work. Larger projects require a deposit, with its amount and payment milestones agreed in the plan before work starts. No fixed deposit percentage or project-value threshold is assumed. Earlier client-specific payment terms do not automatically apply to a new engagement.
Software licences, hosting, domain fees, API usage, SMS, advertising spend and paid assets are included only if expressly listed. We seek approval for additional costs we incur on your behalf and explain any ongoing commitment before it is made.
Raise an invoice concern promptly so we can review it. We will discuss a genuine dispute and reasonable next steps rather than impose an unagreed penalty. The accepted plan and invoice state the exact due date; larger-project deposits and milestones are agreed before work begins. No automatic late-payment fee or debt-recovery charge is introduced by these terms.
05Mentoring and ongoing support
The current mentoring offer uses 60-minute remote sessions: one per 30-day period, one every two weeks or one each week, with invoicing at the end of each agreed 30-day service period after the scheduled sessions for that period. The accepted plan confirms the chosen rhythm, price, start date, time zone and any agreed holiday arrangements. Weekly and fortnightly sessions follow their agreed calendar rhythm rather than an automatic cap of four or two calls.
The stated email-support allowances per 30-day period are up to 15 minutes for monthly mentoring, 30 minutes for fortnightly mentoring and 60 minutes for weekly mentoring. This is guidance between sessions, not an unlimited help desk or implementation retainer. Any rollover or other allowance arrangement must be expressly stated in the plan.
Hands-on implementation and technical monitoring are separately scoped. Service hours, response targets, escalation contacts and any ongoing support commitment are agreed in writing; mentoring does not imply emergency or 24-hour availability.
Ongoing mentoring arrangements require 30 days’ cancellation notice, given in writing to joel@scaleyourservice.com.au. Scheduled support continues during the notice period and is invoiced under the agreed arrangement. Rescheduled and missed sessions can be caught up at a mutually agreed time, subject to Joel’s calendar availability; this is not an automatic forfeiture rule or a promise of an immediate replacement slot. We agree catch-up dates together, including any outstanding sessions when an engagement ends. Any holiday, pause or minimum-term arrangement must be expressly agreed in the plan. Direct debits or saved-card charges require separate express payment authorisation; merely visiting the website does not authorise them.
06Rescheduling, cancellation and refunds
Either party may request to reschedule or end work by contacting the other party’s nominated contact. Mentoring cancellation requires 30 days’ written notice. Missed or rescheduled sessions are arranged as catch-ups subject to calendar availability. Project cancellation arrangements and any lawful, proportionate charges for a change of mind are stated in the plan before acceptance. We do not assume that all deposits or all future fees are non-refundable.
If a project ends early, we identify work properly completed, approved non-recoverable third-party commitments and payments already made. Any deduction for change-of-mind cancellation must be disclosed before acceptance, reasonable in the circumstances and consistent with applicable law. Unused prepaid amounts are reconciled and refunded where due.
If we need to cancel a session, we offer a reasonable replacement time or a refund for that session where appropriate. If we cannot provide paid services, we discuss a remedy and return amounts due for undelivered work, subject to applicable consumer rights.
Where a consumer guarantee applies, remedies are determined by law and the circumstances, including the seriousness of a failure. Nothing in our cancellation terms restricts those remedies. There is no blanket ‘no refunds’ rule.
07Software, automation and AI
We assess feasibility before committing to a particular connection or feature. Third-party systems can change prices, permissions, APIs and capabilities. We remain responsible for our agreed work; the plan explains which provider dependencies and ongoing maintenance responsibilities are outside that scope.
AI outputs may be incomplete, inaccurate or unsuitable. We agree approved inputs, review steps and test examples for the use case. A person should check consequential outputs and decisions before use. We do not promise a particular saving, revenue result, ranking, advertising performance or fully autonomous business operation.
Using client, employee or customer information requires appropriate authority and a defined purpose. Before personal information is processed through AI tools or overseas services, the parties identify their respective roles, approved providers, access, safeguards and any required data-processing terms. This agreement is not unrestricted permission to use information for model training.
Security, backups, monitoring, ongoing content updates and incident response are included only to the extent expressly agreed, without limiting legal obligations. We confirm handover and the support period; no unspecified perpetual maintenance obligation is created.
08Materials, ownership and handover
You retain rights in your existing content, brand, customer information and other materials. You grant us the limited permissions reasonably needed to perform the agreed services.
Once a bespoke deliverable is complete and paid for, we assign our transferable copyright in that bespoke work to you. We retain rights in pre-existing and general reusable tools, methods and templates; where embedded in a deliverable, we grant an ongoing, non-exclusive licence to use and adapt them as needed to operate that deliverable in your business. This does not permit reselling our standalone tools or templates.
Third-party assets, fonts, stock material, software and AI-generated material may have separate licences or rights limitations. We identify relevant restrictions and do not promise exclusive rights we cannot grant. Your plan specifies access, editable files, repositories, export formats, account ownership and any paid licences.
Scale Your Service is the client’s contracting and invoicing contact for creative work coordinated with Lachlan and pays the specialist for that work. The plan records the approved production method, duration, format, revisions, usage rights and additional fees. We arrange the rights and permissions needed for the agreed handover; third-party and AI-related limitations still apply. Portfolio use of client names, material or results requires separate permission.
09Confidentiality and information handling
Each party protects the other’s confidential information, uses it for the engagement and shares it only with authorised people who need it, professional advisers or as required by law. Information already lawfully public is not confidential solely because it is mentioned during the engagement.
We identify material subcontractor involvement and any relevant access before it occurs. When work ends, we agree access removal, handover and return or deletion of records, subject to applicable recordkeeping duties and documented backup arrangements. Our Privacy Policy also describes our own handling of personal information.
10Rights, concerns and disputes
Nothing in these terms excludes, restricts or modifies a right, guarantee or remedy that cannot lawfully be excluded, including applicable Australian Consumer Law rights. Both parties remain responsible for their conduct and obligations under law.
Contact Joel Farmer at joel@scaleyourservice.com.au with a concern, explaining the issue and the outcome sought. We review the relevant work and respond within a reasonable period. The parties first try to resolve the matter through their authorised contacts and may agree mediation. This does not prevent urgent relief or exercising statutory complaint rights.
The agreement is governed by the laws of Queensland, Australia, with the non-exclusive jurisdiction of its courts. Mandatory protections applying to a client remain available, including protections that apply in another country. These terms do not impose a blanket exclusion of liability, a broad client indemnity or a monetary liability cap.
Terms for an accepted engagement are not changed unilaterally by updating the website. Changes to that engagement require written agreement, except where a change is required by mandatory law.
